Welcome to CIRO Distribution (”CIRO”, “we”, “our”, or “us”).
These Terms of Use (”Terms”) govern your access to and use of the CIRO Distribution website, dashboard,
applications, and all related products and services (collectively, the “Services”).
By creating an account, accessing our website, uploading content, purchasing a subscription, or using any
part of our Services, you acknowledge that you have read, understood, and agree to be legally bound by these
Terms.
If you do not agree with these Terms, you must immediately discontinue use of our Services.
CIRO Distribution is a global digital music distribution platform headquartered in Dublin, Ireland.
To use CIRO’s Services, you represent and warrant that:
• You are at least 18 years old, or have the legal consent of a parent or guardian.
• You have the legal authority to enter into this agreement.
• All information provided during registration is true, complete, and accurate.
• You will maintain accurate account information at all times.
CIRO reserves the right to suspend or terminate any account created using false, misleading, or incomplete
information.
Each account is initially intended for one artist.
Additional artists may be added to an account by paying the applicable one-time artist addition fee
displayed on the platform at the time of purchase.
Subscription renewals apply to all artists connected to the same account under the selected subscription
plan.
Users are solely responsible for:
• Maintaining the confidentiality of their login credentials.
• All activity occurring under their account.
• Preventing unauthorized access.
CIRO shall not be liable for losses resulting from unauthorized account access caused by the user’s failure
to protect their credentials.
Custom Label
Accounts containing five (5) or more artists may become eligible to register and display a custom label name, subject to platform availability and compliance requirements.
CIRO offers multiple subscription plans with different pricing structures, revenue sharing models, and
features.
Current pricing, available plans, optional services, and included features are displayed on the official
Pricing page and may be updated from time to time without prior notice.
The subscription purchased by the user determines the revenue share, available services, and platform
features.
Unless otherwise stated:
• Subscription fees are charged in advance.
• Subscription fees are non-refundable.
• Plans renew automatically until cancelled by the user.
• Taxes, payment processing fees, or governmental charges may apply where required.
Failure to successfully process renewal payments may result in suspension of distribution services until the subscription is reactivated.
Artists retain ownership of all copyrights, master recordings, and intellectual property associated with their content.
By uploading content to CIRO, you grant CIRO a worldwide, non-exclusive license to:
• Deliver your content to Digital Service Providers (“DSPs”);
• Monetize your content where available;
• Collect royalties on your behalf;
• Deliver metadata, artwork, lyrics, credits, and related materials;
• Perform technical processing necessary for distribution.
This license remains effective until your content is removed from CIRO’s distribution network, subject to
reasonable processing periods required by DSPs.
Submission of content does not guarantee acceptance or publication by any DSP.
Each DSP independently reviews submitted releases and may reject, delay, remove, restrict, demonetize, or
otherwise limit availability according to its own policies.
CIRO is not responsible for decisions made independently by DSPs.
Although CIRO works to deliver releases before the selected release date, delivery times depend on
third-party DSP review processes.
CIRO cannot guarantee publication on any specific date.
Delays caused by DSP reviews, technical maintenance, holidays, metadata corrections, or other circumstances
beyond CIRO’s control shall not constitute a breach of these Terms.
Artists retain the revenue share associated with the subscription plan selected at the time of purchase.
CIRO collects royalties from Digital Service Providers (“DSPs”) on behalf of artists and distributes payments
Royalty statements and earnings displayed in the artist dashboard are based on reports received from third-party platforms and may be adjusted if DSPs revise, correct, reverse, or invalidate previously reported earnings.
Royalty payments are generally processed on a quarterly basis, subject to reporting schedules, payment processing, verification procedures, and applicable compliance requirements.
CIRO shall not be responsible for delays in royalty reporting or payments caused by DSPs, banking institutions, payment processors, governmental authorities, or circumstances beyond its reasonable control.
Royalty Adjustments
CIRO reserves the right to adjust, deduct, reverse, offset, or recover royalties where necessary, including
but not limited to situations involving:
Fraudulent or artificial streaming;
Copyright disputes;
Duplicate or incorrect royalty reports;
DSP payment reversals;
Chargebacks;
Accounting corrections;
Invalid claims;
Any payment received in error.
If incorrect royalties have already been paid, CIRO may deduct such amounts from future earnings or request
repayment where permitted by applicable law.
Reserved Balance
CIRO may temporarily withhold part or all of an artist’s royalties while investigating:
Copyright claims;
Fraud investigations;
Artificial streaming;
Payment disputes;
Identity verification;
Suspicious account activity;
Violations of these Terms.
Reserved balances will be released once the relevant investigation has been completed, unless the funds are
required to satisfy legal obligations or DSP adjustments.
Artists may request royalty withdrawals once their unpaid balance reaches the minimum payout threshold
displayed on the platform.
At the time of this Agreement, the minimum withdrawal amount is $10.
In order to request a withdrawal:
The artist must maintain an active subscription.
Payment information must be complete and accurate.
Identity verification may be required.
All compliance reviews must be successfully completed.
If an account subscription expires, royalties remain stored within the account but cannot be withdrawn until
an active subscription is restored.
CIRO reserves the right to refuse or delay withdrawals where fraud prevention, legal compliance, payment
security, or verification procedures require additional review.
Unless otherwise stated:
Subscription fees are non-refundable.
Plans renew automatically according to the selected billing cycle.
Users are responsible for maintaining valid payment methods.
Users may change their subscription plan at the end of the current billing period.
Failure to renew a subscription may result in suspension of distribution services and access to certain
platform features until the subscription is reactivated.
Termination or expiration of a subscription does not transfer ownership of uploaded content to CIRO.
CIRO may provide optional promotional services intended to improve exposure opportunities for artists.
Promotional campaigns may include, without limitation:
Playlist pitching;
Influencer marketing;
Social media campaigns;
Digital advertising;
Other promotional opportunities.
Campaign pricing, scope, duration, and availability vary depending on the selected service.
CIRO does not guarantee:
Playlist placements;
Editorial support;
Streaming numbers;
Follower growth;
Viral success;
Revenue increases;
Promotion services are intended to increase visibility only.
CIRO maintains a zero-tolerance policy regarding artificial streaming and platform manipulation.
Users may not directly or indirectly engage in activities including, but not limited to:
Purchasing streams;
Purchasing followers or listeners;
Stream farms;
Bots;
Click farms;
Playlist manipulation;
Automated listening;
Artificial engagement;
Metadata manipulation intended to deceive DSPs;
Any activity prohibited by DSP policies.
If CIRO or a DSP determines that fraudulent activity has occurred, CIRO may:
Remove affected releases;
Suspend or terminate the account;
Withhold royalties;
Recover previously paid royalties;
Cooperate with DSP investigations;
Report fraudulent activity where legally required.
CIRO’s determination regarding fraudulent streaming investigations shall be based on information received
from DSPs, fraud detection systems, and other reliable sources.
CIRO accepts AI-assisted or AI-generated content only where the artist possesses all necessary legal rights
to distribute such content.
By uploading AI-assisted or AI-generated material, the artist represents and warrants that:
The content does not infringe the rights of any third party;
Any AI tools used permit commercial distribution;
The content does not unlawfully imitate or clone the voice, likeness, identity, or performance of another
person without authorization;
All applicable laws and DSP policies have been followed.
CIRO reserves the right to reject, suspend, or remove AI-generated content if:
A DSP rejects the release;
Copyright ownership cannot be reasonably verified;
The content presents legal or commercial risks;
Applicable laws or platform policies change.
CIRO shall not be liable for decisions made independently by DSPs regarding AI-generated content.
Artists are solely responsible for ensuring that all submitted information is complete and accurate,
including:
Artist names;
Song titles;
Composer information;
Publishing information;
ISRC and UPC identifiers;
Contributor credits;
Lyrics;
Artwork;
Genres;
Release dates;
Territories.
Submission of inaccurate, misleading, or fraudulent metadata may result in rejection, removal, delayed
distribution, royalty adjustments, account suspension, or other enforcement actions.
To protect artists, rights holders, DSP partners, and payment systems, CIRO may require identity verification
at any time.
Verification may include requests for:
Government-issued identification;
Proof of address;
Proof of ownership of musical works;
Business registration documents;
Tax documentation;
Additional information reasonably necessary to verify ownership or identity.
Failure to provide requested documentation within a reasonable period may result in delayed payments,
suspension of services, withholding of royalties, or account termination.
Artists are solely responsible for determining, reporting, and paying any taxes, duties, levies, or
governmental charges applicable to their income in accordance with the laws of their country of residence or
any jurisdiction in which they are subject to taxation.
CIRO does not provide tax, legal, or accounting advice.
Where required by applicable law, regulation, governmental authority, banking institution, or payment
processor, CIRO may withhold taxes or request additional tax documentation before processing royalty
payments.
Failure to provide requested tax documentation may result in delayed payments or temporary withholding of
royalties until compliance requirements have been satisfied.
By submitting content through CIRO Distribution, the Artist grants CIRO a worldwide, non-exclusive,
royalty-free license during the term of distribution to:
Distribute and make the content available through Digital Service Providers (“DSPs”);
Collect, receive, process, and remit royalties on the Artist’s behalf;
Encode, convert, format, compress, modify technical specifications, and otherwise prepare content for
digital distribution;
Display, reproduce, transmit, and use artwork, metadata, lyrics, credits, promotional materials, and related
information for distribution, promotional, operational, and administrative purposes;
Deliver content to YouTube Content ID and similar rights management systems where applicable;
Perform all technical, administrative, and operational actions reasonably necessary to provide the
Services.
Nothing in these Terms transfers ownership of the Artist’s copyrights, master recordings, trademarks, or
other intellectual property to CIRO.
The Artist retains full ownership of all intellectual property rights unless otherwise agreed in
writing.
By uploading content, the Artist represents and warrants that:
They own or control all rights necessary to distribute the submitted content;
All required permissions, licenses, approvals, and consents have been obtained;
The content does not infringe any copyright, trademark, publicity right, privacy right, neighboring right,
contractual right, or any other intellectual property or legal right of any third party;
The content does not violate any applicable law or regulation;
All submitted metadata is accurate, complete, and truthful;
The content does not contain malicious software, unauthorized material, or unlawful content.
The Artist agrees to indemnify, defend, and hold harmless CIRO, its officers, employees, affiliates,
partners, contractors, and service providers against any claims, damages, liabilities, costs, expenses, or
legal fees arising from a breach of these warranties.
CIRO respects intellectual property rights and expects all users to do the same.
Artists may upload only content for which they possess all necessary legal rights.
Unauthorized uploads, copyright infringement, plagiarism, impersonation, or misrepresentation of ownership
are strictly prohibited.
Copyright complaints and takedown requests are handled in accordance with CIRO’s DMCA Policy, which forms
part of these Terms by reference.
Upon receiving a valid copyright complaint or legal notice, CIRO reserves the right to:
Remove or disable access to affected content;
Suspend distribution;
Request proof of ownership;
Temporarily withhold royalties related to disputed content;
Suspend or terminate the associated account where appropriate.
Nothing in these Terms limits CIRO’s ability to comply with applicable copyright laws or lawful requests
from governmental authorities or Digital Service Providers.
Artists remain solely responsible for all uploaded content, including:
Audio recordings;
Artwork;
Lyrics;
Metadata;
Contributor information;
Videos;
Promotional materials;
Any associated files.
CIRO does not routinely review content before distribution.
However, CIRO reserves the right, at its sole discretion, to reject, suspend, delay, refuse, restrict, or
remove any content that:
Violates applicable laws;
Infringes third-party rights;
Violates DSP policies;
Presents legal, commercial, reputational, or operational risks;
Contains misleading metadata;
Contains offensive, abusive, hateful, discriminatory, or unlawful material;
Is reasonably likely to expose CIRO or its partners to legal liability.
CIRO shall have no obligation to distribute any content submitted through the platform.
CIRO may obtain ISRC, UPC, and other industry-standard identifiers through third-party providers.
Artists acknowledge that:
Such identifiers remain valid for commercial distribution;
The registered issuer may be a third-party organization rather than CIRO;
Use of third-party issued identifiers does not affect ownership of the recordings or entitlement to
royalties.
CIRO shall not be liable for technical, administrative, or operational limitations arising from the issuance
or management of such identifiers by third parties.
CIRO relies on various third-party providers to deliver its Services, including but not limited to Digital
Service Providers (DSPs), payment processors, cloud infrastructure providers, identity verification
providers, analytics services, and other technology partners.
The availability, functionality, and policies of such third-party services are outside CIRO’s control.
CIRO shall not be liable for interruptions, delays, service failures, policy changes, account suspensions,
content removals, payment delays, or other actions resulting from third-party providers.
Users acknowledge that the use of such third-party services may also be subject to the respective providers’
own terms and policies.
By creating an account or using the Services, users consent to receive communications from CIRO
electronically.
Such communications may include:
Account notifications;
Billing information;
Payment confirmations;
Policy updates;
Security notices;
Legal notices;
Service announcements.
Electronic communications shall satisfy any legal requirement that such communications be made in writing.
Users represent and warrant that they are not located in, organized under the laws of, or ordinarily
resident in any country or territory subject to comprehensive international sanctions that would prohibit
CIRO from providing its Services.
Users further represent that they are not included on any applicable governmental sanctions or
restricted-party list.
CIRO reserves the right to suspend or terminate Services where required to comply with applicable sanctions
laws, export control regulations, or governmental restrictions.
To the maximum extent permitted by applicable law, CIRO shall not be liable for any indirect, incidental,
consequential, special, punitive, or exemplary damages, including but not limited to:
Loss of revenue or royalties;
Loss of data or content;
Business interruption;
Reputational damage;
Loss of anticipated profits;
DSP takedowns or restrictions;
Payment delays or failures;
Third-party service failures.
CIRO’s total liability for any claim arising out of or related to the Services shall not exceed the total
amount paid by the user to CIRO in the twelve (12) months preceding the event giving rise to the claim.
The Services are provided on an “as is” and “as available” basis.
CIRO makes no warranties or representations of any kind, whether express or implied, including but not
limited to:
Continuous or uninterrupted availability of services;
Error-free operation of the platform;
Guaranteed distribution to any DSP;
Guaranteed approval or acceptance of content;
Specific financial performance or earnings.
Users acknowledge that distribution services depend on third-party platforms and external systems beyond
CIRO’s control.
CIRO shall not be held liable for any failure or delay in performance resulting from circumstances beyond
its reasonable control, including but not limited to:
Natural disasters;
War, terrorism, or civil unrest;
Government actions or restrictions;
Sanctions or regulatory changes;
Internet or infrastructure outages;
Cyberattacks or security incidents;
Failures of third-party platforms or payment systems.
During such events, CIRO’s obligations shall be suspended for the duration of the force majeure condition.
CIRO reserves the right to suspend, restrict, or terminate any account at its sole discretion, with or
without notice, if:
The user violates these Terms;
Fraudulent, abusive, or illegal activity is detected;
Artificial streaming or manipulation is suspected;
Required legal or compliance obligations arise;
Requested identity verification is not completed;
DSP policies require removal or suspension of content.
Upon termination:
Access to the Services may be revoked;
Content distribution may be removed from DSPs (subject to DSP processing timelines);
Pending royalties may be withheld or adjusted where necessary for legal or compliance reasons.
Termination of an account does not affect:
Ownership rights of the artist in their content;
CIRO’s rights to process outstanding obligations;
Any accrued payment adjustments or liabilities;
Any provisions intended to survive termination (including legal, financial, and compliance obligations).
Certain sections of these Terms shall survive termination, including but not limited to payment obligations,
liability limitations, indemnification, and legal compliance clauses.
These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to
conflict of law principles.
Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the
courts of Ireland, unless otherwise required by mandatory applicable law.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
These Terms, together with any referenced policies (including the DMCA Policy and Privacy Policy),
constitute the entire agreement between the user and CIRO Distribution regarding the use of the Services.
They supersede any prior agreements, communications, or understandings, whether written or oral.
CIRO reserves the right to modify or update these Terms at any time.
Updates become effective immediately upon publication on the website or platform.
Continued use of the Services after changes are published constitutes acceptance of the revised Terms.
Users are responsible for reviewing the Terms periodically.
